Applies to all visitors. Additional mandatory rights apply for consumers in the EU/EEA, UK, Germany, United States, and Canada as described below.
1. Agreement to Terms
These Terms of Service ("Terms") govern access to and use of suriyaa.co and related pages (the "Website") operated by Suriyaa Inc. (Sheridan, Wyoming, USA) ("we," "us," or "our").
By accessing or using the Website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.
If you access the Website on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Definitions
- Company: Suriyaa Inc., a Wyoming corporation.
- Content: text, graphics, logos, images, software, job listings, company information, and other materials on the Website.
- Services: the Website and any features we offer through it (information, contact forms, careers listings, news, links to portfolio companies, etc.).
- User Submissions: information you send via contact forms, email, or other channels linked from the Website.
3. Description of Services
The Website provides general information about Suriyaa Inc., affiliated startups and projects, career opportunities, news, and ways to contact us. Unless we expressly agree otherwise in writing, nothing on the Website constitutes a binding offer, investment advice, legal advice, or an employment contract.
Contact channels include web forms (general, co-founder, press, legal), routed email addresses, and direct mailto links. Investment-related inquiries may be directed to separate platforms (e.g., Flying Aries). Those platforms are governed by their own terms.
We may modify, suspend, or discontinue any part of the Website at any time, with or without notice.
4. Eligibility and Accounts
You must be at least 16 years old (or 13 in the United States with parental consent where required) to use the Website. The Website does not currently offer user registration or login accounts. If we introduce accounts in the future, additional terms may apply.
5. Acceptable Use
You agree not to:
- Violate any applicable law or regulation (including export, sanctions, and anti-spam laws).
- Infringe intellectual property, privacy, or other rights of any person.
- Transmit malware, conduct denial-of-service attacks, or attempt unauthorized access to our systems.
- Scrape, crawl, or harvest data from the Website except as permitted by robots.txt or our prior written consent.
- Submit false, misleading, or defamatory information through forms or email.
- Use the Website for unsolicited commercial messaging or harassment.
- Impersonate us, our team, or any portfolio company.
- Use Suriyaa Inc. or third-party trademarks, logos, or trade dress without permission or in a misleading way (see Section 7).
We may block access and cooperate with authorities for violations.
6. Intellectual Property
The Website and its Content (excluding User Submissions) are owned by Suriyaa Inc. or its licensors and are protected by copyright, trademark, and other laws. Names, logos, and project marks may be trademarks of their respective owners.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for personal or internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from our Content without prior written permission, except as allowed by mandatory law or brief quotations with attribution.
7. Trademarks and Logos
Suriyaa Inc. respects trademark and logo rights. The names, logos, wordmarks, trade dress, and other brand elements displayed on the Website (including "Suriyaa Inc." and project or portfolio marks) are protected by trademark and unfair-competition laws unless otherwise noted.
Our marks: No license is granted to use Suriyaa Inc. trademarks or logos except as expressly allowed below or in a written agreement signed by an authorized representative.
- Permitted without prior approval: truthful, nominative references (e.g., news or commentary naming Suriyaa Inc.), and standard web links to pages on suriyaa.co without implying sponsorship or endorsement.
- Press and media: use of official logos or assets only as provided in our media materials or with written permission from press@suriyaa.co.
- Requires written permission: use of our logos on your website, app, merchandise, presentations, advertisements, modified or combined marks, domain names or social handles containing our marks, or any use that suggests partnership, endorsement, or affiliation with Suriyaa Inc. or any portfolio company.
Third-party marks on this Website: Logos and names of portfolio companies, partners, supporters, and tools (e.g., Cloudflare, Vercel) belong to their respective owners. Display on suriyaa.co is for identification only and does not imply that those parties endorse Suriyaa Inc. Do not use third-party marks in a way that misleads users about origin or affiliation.
To request permission to use our trademarks or logos, contact legal@suriyaa.co. To report misuse of our marks or unauthorized use of third-party marks on the Website, use the same address with the subject line "Trademark Notice" and include URLs, screenshots, and a description of the concern.
8. User Submissions
When you submit information through our contact forms or email, you represent that it is accurate to the best of your knowledge and that you have the right to share it. You grant us a worldwide, non-exclusive, royalty-free license to use, store, and process User Submissions solely to respond to you and operate our business.
Attachments must comply with stated file type and size limits. We are not obligated to review or respond to every submission.
9. Third-Party Services and Links
The Website uses third-party infrastructure and tools, including Cloudflare (CDN/security), Vercel (hosting, analytics, speed insights), Resend (email delivery), Google Analytics, and Vercel Blob Storage for media. See our Privacy Policy for details.
Links to third-party websites (social networks, portfolio companies, status pages, etc.) are provided for convenience. We do not control and are not responsible for third-party content or practices.
10. Disclaimer of Warranties
THE WEBSITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Website will be uninterrupted, error-free, secure, or free of harmful components. Information about companies, jobs, metrics, and projects may change without notice and is not a guarantee of future performance or availability.
EU/EEA/UK/Germany consumers: Mandatory statutory consumer rights and warranties under applicable law remain unaffected. Nothing in these Terms limits rights you cannot waive under EU or German consumer protection law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SURIYAA INC. NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE WEBSITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE MINIMUM AMOUNT REQUIRED BY MANDATORY LAW, WHICHEVER IS GREATER.
Germany / EU: Liability for intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), injury to life, body, or health, under the German Product Liability Act (ProdHaftG), and other mandatory liability cannot be excluded. Where liability is limited for simple negligence, it is limited to typical, foreseeable damages.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Website, your User Submissions, or your violation of these Terms. This section does not apply where prohibited for consumers under EU/German law.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles that would apply another jurisdiction's law, except where mandatory law requires otherwise.
Consumers in the EU/EEA/UK/Germany: Mandatory consumer protections of your country of residence remain available. You may bring claims in the courts of your habitual residence where required by applicable EU or national law.
All other users (including business users): Exclusive jurisdiction for disputes not subject to mandatory consumer venue rules is the state and federal courts located in Sheridan County, Wyoming, USA. Either party may seek injunctive relief in any competent court.
The UN Convention on Contracts for the International Sale of Goods does not apply.
14. Dispute Resolution
The European Commission provides an online dispute resolution platform: https://ec.europa.eu/consumers/odr/. We are not obliged or willing to participate in consumer arbitration proceedings before a consumer arbitration board unless required by law.
Before filing a formal claim, you agree to contact us at legal@suriyaa.co to attempt informal resolution.
15. Copyright Complaints (DMCA)
We comply with the U.S. Digital Millennium Copyright Act (DMCA). If you believe Content on the Website infringes your U.S. copyright, send a notice to legal@suriyaa.co that includes:
- Identification of the copyrighted work.
- Identification of the material and its URL on the Website.
- Your contact information.
- A good-faith statement of unauthorized use.
- A statement under penalty of perjury that your notice is accurate and you are authorized to act on behalf of the copyright owner.
- Your physical or electronic signature.
We may remove or disable access to allegedly infringing material and terminate repeat infringers where appropriate. Full requirements, counter-notifications, and agent details are in our DMCA Policy.
16. Privacy
Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.
17. Changes to Terms
We may update these Terms from time to time. The effective date will be revised at the top of this page. Material changes will be posted on the Website. Your continued use after changes become effective constitutes acceptance where permitted by law. If you do not agree, stop using the Website.
18. General Provisions
- Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Website, superseding prior understandings on that subject.
- Severability: If any provision is invalid, the remainder stays in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: We may assign these Terms. You may not assign without our consent.
- Force majeure: We are not liable for delays or failures due to events beyond reasonable control (e.g., outages, natural disasters, war, government action).
- Language: These Terms are drafted in English. Translations, if any, are for convenience. The English version controls to the extent permitted.
19. Careers and Employment
Job postings and careers content are for general information only. They do not guarantee hiring, compensation, visa sponsorship, or continued availability of a role. Submitting an application (by email or otherwise) does not create an employment contract until a written offer is signed by an authorized representative of the hiring entity.
Each portfolio company may be the actual employer. Suriyaa Inc. is not responsible for hiring decisions of third-party companies unless explicitly stated.
20. Investment, Financial, and Professional Disclaimers
Nothing on the Website is investment, tax, accounting, or legal advice. References to startups, metrics, or supporters do not constitute an offer to sell or solicitation to buy securities. Investment processes may occur on separate platforms (e.g., Flying Aries) governed by their own terms and regulatory disclosures.
Past performance or descriptions of projects are not indicative of future results. You are solely responsible for your investment and business decisions.
21. Portfolio Companies and Third-Party Brands
Names, logos, and descriptions of portfolio companies, partners, and supporters are used for identification. Those entities are independent. Their products, services, and policies are their own. A listing on the Website does not imply endorsement of every activity of a listed party.
22. API, Scraping, and Technical Restrictions
You may not abuse our website APIs, bypass rate limits, probe security controls, or use automated means to access the Website except as permitted by robots.txt or written permission. We may throttle, block, or report abusive traffic.
23. Maintenance and Availability
We may place the Website in maintenance mode (including via configuration flags). During maintenance, features may be unavailable. We are not liable for downtime caused by hosting providers (Vercel, Cloudflare), DNS issues, or force majeure events.
24. Electronic Communications
By contacting us through the Website or email, you consent to receive electronic responses related to your inquiry. You are responsible for providing a valid email address and keeping your communication secure.
25. Feedback and Suggestions
If you provide ideas, feedback, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without compensation or attribution, except where prohibited by law. Do not send confidential or proprietary information you cannot share.
26. Termination of Access
We may suspend or terminate your access to the Website at any time, without notice, for conduct we believe violates these Terms or harms others or our infrastructure. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
27. No Partnership or Agency
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and us. You may not represent yourself as our agent or representative without written authorization.
28. Export Control and Sanctions
You may not use the Website in violation of applicable export control, sanctions, or trade laws (including U.S., EU, and German regulations). You represent that you are not located in, or ordinarily resident in, a country or territory subject to comprehensive embargoes, and are not a denied party on applicable restricted-party lists.
29. Accessibility
We aim to make the Website reasonably accessible. If you encounter accessibility barriers, contact inquiries@suriyaa.co with the page URL and a description of the issue. This statement does not constitute a warranty of conformance with any specific technical standard unless required by law.
30. U.S. Class Action Waiver (Where Permitted)
To the extent permitted by applicable law and not prohibited for consumers in the EU/EEA, UK, or Germany, you and we agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
